Blue Cloud Softech to Consider Acquisition of US Healthcare Entity; Board Meet on August 24

Proposed US Healthcare Acquisition

As per the company’s exchange filing, the proposed target operates across multiple healthcare and allied segments in the US. These include AI technology-enabled healthcare solutions, home care services, clinical care services, travel care services, post-acute care services, correctional healthcare support, US school education support services and mental healthcare services.

The Board will evaluate the proposed acquisition based on the outcome of due diligence, valuation and negotiations before finalising the transaction terms.

Fundraising Plan Also on Agenda

Along with the acquisition proposal, Blue Cloud Softech’s Board will consider a plan to raise funds through the issuance of equity shares and/or other eligible securities on a preferential basis.

The proposed fundraising could also involve a share swap, under which securities may be issued as consideration for the acquisition. The issue would be subject to shareholder approval and other applicable regulatory clearances.

The company also plans to consider the appointment of legal, financial, tax and technical advisors, along with a SEBI-registered merchant banker and registered valuer, for the proposed acquisition and securities issuance.

Transaction Subject to Due Diligence and Approvals

Blue Cloud Softech clarified that the proposed acquisition will be subject to satisfactory due diligence, valuation, applicable statutory and regulatory approvals and execution of definitive agreements. The company will make further disclosures under the applicable SEBI LODR provisions at the appropriate stage.

The development indicates a potential expansion of Blue Cloud Softech’s presence into the US healthcare ecosystem, with the proposed target having exposure to both conventional healthcare services and AI-enabled healthcare solutions.

Trading Window Closed

Following the announcement, the company has closed its trading window for designated persons and their immediate relatives with effect from August 17, 2026. The trading window will remain closed until 48 hours after the outcome of the Board meeting is disclosed to the stock exchanges.

Investors will therefore be watching the August 24 Board meeting closely for further details on the proposed US acquisition, transaction valuation, funding structure and the potential share-swap component.
